THe sides are a non-woven material similar to a light weight Pellon interfacing. It is shirred with multiple rows of elastic so that it fits close to the mattress.

how thick is the pad??

It is not very thick and it fits my mattress very tightly. I have difficulty putting it on by myself. I have washed it several times and it is holding up well.

Does this matress pad have a waterproof protective liner?

No...there isn't a waterproof pad.
